CinDen Wholesale Acknowledgement Agreement*

RETURN POLICY

CinDen Pharmacy’s Return Policy ensures satisfaction. Contact us within five days for a Return Authorization
Number. Only products ordered in error are eligible. Follow these steps for credit:

Notify Customer Service within five days of receipt.
Include Return Authorization Number on Return Form.
Ensure unopened, sellable condition for mistaken orders.
Confirm CinDen formula availability.

Note: Returns without Authorization Number won’t be accepted. Credits subject to 15% restocking fee. Applied
to your account for future orders.

INTERNET SALES POLICY:

No resale, pricing, or distribution of Products online without prior written approval.
References to CinDen and products allowed with prior written approval.
No listing of product prices online without prior written approval.
Approved online references must be password protected and limited to patients only.
Authorized online prices must be password protected and accessible to patients only.
CinDen reserves the right to discontinue sales; outstanding amounts become immediately due.
CinDen reserves the right to enforce trademark rights and recover damages for infringement.

Non-compliance results in termination of this Agreement and potential legal action.

MINIMUM ADVERTISED PRICE (MAP) POLICY AGREEMENT:

CinDen’s MAP Agreement, effective March 1st, 2024, applies to all Resellers of Dr Wilson’s Original
Formulations® brand products (“ICA products”) and CinDen Nutritionals products in Canada. Key points:

Protects retail prices to maintain quality services and avoid conflicts.
Resellers must agree to this agreement before purchasing CinDen products.
MAP applies to all CinDen products listed in the Pricing Guide, set 10% below MSRP.
Advertising must comply with MAP guidelines, including bundling and promotions.
Violations lead to consequences, including termination of orders and business relations.
CinDen reserves the right to modify or discontinue the MAP Agreement at its discretion.
